State registration of the bond issue, registration of the bond prospectus, except for cases of registration of the bond prospectus for the purpose of admission of bonds to trading on a stock exchange, as well as approval of the layout of the bond form sample in case of issuance of bearer bonds is performed in accordance with the Law of the Republic of Belarus "On the basics of administrative procedures", Law of the Republic of Belarus dated 05.01.2015 No. 231-Z "On the securities market", Decree of the President of the Republic of Belarus dated 28.04.2006 No. 277 "On some issues of securities market regulation", Decree of the President of the Republic of Belarus dated 11.05.05.2017 No. 154 "On financing commercial organisations for the assignment of rights (claims)", Decree of the President of the Republic of Belarus dated 25.06.2021 No. 240 "On administrative procedures carried out in relation to business entities", Resolution of the Council of Ministers of the Republic of Belarus dated 24.09.2021 No. 548 "On administrative procedures carried out in relation to business entities", Resolution of the Ministry of Finance of the Republic of Belarus dated 31.08.2016 No. 78 "On some issues of issue and state registration of issue-grade securities", Resolution of the Ministry of Finance of the Republic of Belarus dated 30.06.2016 No. 54 "On approval of the Instructions on the procedure of issue, circulation and redemption of government bonds of the Republic of Belarus", Resolution of the Ministry of Finance of the Republic of Belarus dated 20.09.2023 No. 60 "On approval of regulations of administrative procedures".
To submit an application for the administrative procedure, it is necessary to log in to the Unified Portal of Electronic Services using a private EDS key, select this procedure in the list of available services and procedures, click on the "Obtain" button, fill in an electronic form with electronic copies of the required documents in PDF format attached and send the application to the Securities Department of the Ministry of Finance for review and implementation of the state registration of the bond issue, registration of the bond prospectus, as well as approval of the layout of the bond form sample in case of issuance of bearer bonds.
The notification of acceptance of an application and the obtained result of its review will be reflected in the user personal account of the NAIS UPES in the section "My services" when viewing the previously submitted application.
The administrative decision as an electronic document signed by an EDS of an official of the Securities Department, with documents attached (depending on the results of the AP implementation), if necessary, can be downloaded in the "My Services" section.
The applicant has the opportunity to view and print out (save to a local computer) the result of AP implementation: an administrative decision, view and print out (save to a local computer) the documents attached to the administrative decision (if any).
Duration of the administrative procedure is 15 working days; in case of forwarding the request to other state authorities, other organisations it is 30 days, in case of verification of reliability of information contained in the documents submitted for implementation of the administrative procedure, this period is suspended for the period of verification, but not more than for 20 days.
State duty in the amount of 35 basic units for each issue
Legal entities of the Republic of Belarus.
Administrative decision (information letter);
certificate of state registration of securities issue;
approved sample of the bond form layout (in case of issue of bonds in certificated form for bearer).
Other actions performed by the Securities Department to implement the administrative decision:
assignment of a state registration number to the bond issue;
listing of relevant information in the State Register of Securities;
transfer of the bond issue for centralised accounting to the depository system (in case of state registration of the bond issue in book-entry form).
